ER-One, Continental Emergency Services and Hampton Roads Emergency Physicians Sign Letter of Intent

January 30, 2013 -- To improve the quality of health care in emergency departments within the state of Virginia, ER-One, Continental Emergency Services and Hampton Roads Emergency Physicians havesigned a letter of intent to form a new Virginia-based organization that willservice emergency departments across the state.

The companies have entered a period of exclusive negotiations and due diligence. Barring any significant impediments a definitive agreement for the new entity is expected to be complete in the first quarter of 2013.  

The new organization will combine the strengths of the individual companies to emerge as a leader of emergency department management and physician staffing.  The group will be responsible for the emergency departments in four hospitals within the Bon Secours VirginiaHealth System including Bon Secours Mary Immaculate Hospital, Memorial Regional Medical Center, Richmond Community Hospital, St. Francis Medical Center and will also be responsible for the emergency department at Rappahannock General Hospital.   The combination of health care facilities will result in excess of 200,000 emergency room visits per year.

In 2008 Dr. Kramer and Dr. Brian Clare formed a joint partnership, Hampton Roads Emergency Physicians, to provide the ED management at Mary Immaculate Hospital.
